C1 and FF code? HELP!

Soyo Tech-AID Diagnostic card is on the Asus mobo. When I turn the mobo on,
the card displays C1 and FF code. The mobo itself shut down quickly when FF
is displayed. What's wrong with mobo do you know? Any HELP!

AMD Athlon 950
2 x Micron 128MB PC133 SDRAM
40GB IBM 7200rpm

It usually means you have a piece of bad memory. Have you tried taking one
piece out and booting. Then try the other piece?
